Welcome to Zenia. These Terms & Conditions ("Terms") govern your access to and use of the Zenia platform, mobile applications, and all associated services (collectively, the "Service"), operated by zeniacare. By accessing or using the Service, you confirm you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Service.

1. Acceptance of Terms

By creating an account or otherwise accessing the Service you confirm that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you are accessing the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

Your continued use of the Service following any update constitutes acceptance of the revised Terms. We recommend reviewing this page periodically to stay informed.

2. Description of Service

Zenia provides an AI-powered healthcare infrastructure platform designed to support medical professionals, clinics, hospitals, and patients. The Service includes, but is not limited to:

  • Appointment scheduling and calendar management
  • Hospital and clinic discovery via the locator tool
  • Voice-to-record transcription for clinical notes
  • Patient portal and secure communication tools
  • Doctor profiles, verification, and dashboards
  • AI-assisted health record creation and management

The Service is an assistive tool only and does not replace the professional judgement, diagnosis, or treatment decisions of licensed healthcare practitioners.

3. Eligibility & Account Registration

You must be at least 18 years of age, or the minimum legal age to enter into binding contracts in your jurisdiction, to use the Service. By using the Service you represent that you meet this requirement.

When registering for an account you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password confidential and not share credentials
  • Notify us immediately via our Contact Us page of any unauthorised access
  • Accept full responsibility for all activities that occur under your account

Zenia reserves the right to refuse registration or cancel accounts at its sole discretion.

4. Your Content

You may submit, upload, or transmit information through the Service, including patient records, clinical notes, documents, and other data ("Your Content"). You retain ownership of Your Content. By submitting it, you grant Zenia a limited, non-exclusive, worldwide licence to process, store, and display Your Content solely to provide the Service to you.

You represent and warrant that:

  • You have all necessary rights, licences, and permissions to submit Your Content
  • Your Content does not violate any applicable law or third-party rights
  • You are solely responsible for the accuracy and completeness of Your Content

Zenia does not claim ownership of Your Content and will not use it for any purpose beyond providing and improving the Service, subject to our Privacy Policy.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Violate any applicable local, national, or international law or regulation
  • Submit false, misleading, or fraudulent information
  • Impersonate any person or entity, or misrepresent your credentials or affiliations
  • Upload viruses, malware, or any other harmful or disruptive code
  • Attempt to gain unauthorised access to any part of the Service or its systems
  • Scrape, crawl, or harvest data from the Service without written permission
  • Interfere with or disrupt the security, integrity, or performance of the Service
  • Use the Service to transmit spam or unsolicited communications
  • Use the Service to build or support a competing product or service

We reserve the right to suspend or permanently terminate your access for any violation of this section, without notice or liability.

6. Privacy & Data Protection

Your privacy matters deeply to us. Our Privacy Policy explains how we collect, use, store, and protect your personal and health data, and is incorporated into these Terms by reference.

Health data you submit is treated as sensitive personal data under applicable data protection legislation, including the General Data Protection Regulation (GDPR) where applicable. We implement industry-standard technical and organisational safeguards to protect all data at rest and in transit.

HIPAA Note: If you are a covered entity or business associate under the Health Insurance Portability and Accountability Act (HIPAA), please contact us to execute a Business Associate Agreement (BAA) before submitting any protected health information through the Service.

7. Medical Disclaimer

The Service is intended for administrative and informational purposes only. Nothing within the Service constitutes medical advice, clinical diagnosis, or treatment recommendations. Zenia is not a regulated medical device and is not cleared or approved by any regulatory authority as such.

Always seek the advice of a qualified healthcare provider regarding any medical condition, test, or treatment. Never disregard professional medical advice or delay seeking it because of information obtained through the Service.

Reliance on any information or output provided by the Service is solely at your own risk. Zenia expressly disclaims any liability arising from clinical decisions made in reliance on the Service.

8. Intellectual Property

The Service and all its content, features, design, code, trademarks, logos, and functionality are owned by zeniacare and are protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of any intellectual property to you.

We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for its intended purposes in accordance with these Terms. You must not:

  • Copy, reproduce, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or attempt to extract source code
  • Redistribute, sublicense, sell, or commercially exploit the Service
  • Remove or obscure any copyright, trademark, or proprietary notices

9. Third-Party Services

The Service may integrate with or link to third-party services, applications, or websites — such as hospital systems, mapping providers, or payment processors. These services are governed by their own terms and privacy policies, and Zenia is not responsible for their content, practices, or policies.

Any data you share directly with a third-party service is subject to their own terms. Zenia assumes no liability for how such third parties handle your information.

10. Limitation of Liability

To the fullest extent permitted by applicable law, zeniacare and its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including loss of profits, data, goodwill, or business continuity — arising out of or in connection with your use of or inability to use the Service.

Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the greater of: (a) the amounts you paid us in the twelve months preceding the claim, or (b) one hundred US dollars (USD $100).

These limitations apply regardless of the legal theory under which the claim is brought, even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain exclusions; in those cases our liability is limited to the maximum extent permitted by local law.

11. Indemnification

If you are using the Service on behalf of a business or organisation, you agree to defend, indemnify, and hold harmless zeniacare and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your access to or use of the Service
  • Any breach of these Terms or our policies
  • Any content you submit through the Service
  • Any violation of applicable law or third-party rights

12. Modifications to These Terms

Zenia reserves the right to modify or replace these Terms at any time. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, by sending an email notification or displaying a prominent in-app notice.

Your continued use of the Service after any changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue your use of the Service.

13. Termination

You may stop using the Service at any time and request account deletion via our Contact Us page.

Zenia may suspend or terminate your access immediately and without prior notice if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if required to do so by law. Upon termination:

  • Your right to access the Service will cease immediately
  • Provisions that by their nature should survive termination — including disclaimers, limitations of liability, and governing law — will remain in full force
  • We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India for the resolution of any dispute arising under these Terms.

Before initiating formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for at least 30 days. If a resolution cannot be reached, either party may pursue available legal remedies.

Nothing in this section limits either party's right to seek emergency injunctive or equitable relief to prevent irreparable harm.
